Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and [Operator legal entity — to be provided] (“CouchFlippr,” “we,” “us”). They govern your access to and use of the CouchFlippr platform, including couchflippr.com, the seller dashboard, and the storefronts we host on behalf of sellers (together, the “Service”). By using the Service you agree to these Terms and to our Privacy Policy and Marketplace Policies. If you do not agree, do not use the Service.

1. What CouchFlippr is

CouchFlippr is a marketplace and software platform that lets independent sellers (“Sellers” or “Flippers”) run their own storefronts to sell used furniture, primarily sofas, to buyers (“Buyers”). Each storefront is operated by an independent Seller. CouchFlippr provides the technology, hosting, and payment facilitation; it is not the owner of the items listed and is not a party to the sale contract between a Buyer and a Seller, except where we act as the merchant of record to facilitate payment and payouts.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements and that the information you provide is accurate.

3. Accounts and sign-in

Sellers sign in with a magic link sent to their email; you are responsible for keeping access to that email account secure and for activity under your account. Buyers may check out as guests without creating an account. Notify us promptly at support@couchflippr.com if you believe your account or email has been compromised.

4. Listings and Seller obligations

If you list an item, you represent and agree that:

You are solely responsible for your listings and for the items you sell. We may remove listings or suspend accounts that we reasonably believe violate these Terms or applicable law.

5. Photos and AI photo-staging

Sellers may use our optional AI photo tools to enhance lighting/background or stage a sofa in a room. These tools are designed not to alter the item’s true condition, and staged images are labeled as a styled preview. Staged or enhanced images are illustrative; the actual item is the used good described in the listing. Sellers must not use any tool to conceal an item’s real condition or to misrepresent it.

6. Buying, prices, and payments

Prices, delivery fees, optional add-ons, and any applicable taxes are shown at checkout. Payments are processed by Stripe; by paying you authorize the charge to your selected payment method. A CouchFlippr platform fee and/or commission may apply and is reflected in the amounts shown. We facilitate payment between Buyer and Seller and remit the Seller’s proceeds to their connected payout account, less applicable fees.

7. Used goods sold “as is”

Items are pre-owned and sold as is in the condition described, without warranties of any kind except as required by law. Inspect items on delivery. Your purchase remedies are described in our Marketplace Policies.

8. Delivery and fulfillment

Delivery (or local pickup) terms, fees, and scheduling windows are shown at checkout and described in our Marketplace Policies. Risk of loss passes to the Buyer on delivery. Delivery windows are estimates and may be coordinated directly with the Seller.

9. Returns, refunds, cancellations, and disputes

Returns, refunds, cancellations, and the process for reporting a problem (such as a non-delivery or an item materially not as described) are governed by our Marketplace Policies. Because sales are between Buyer and Seller, CouchFlipprmay help mediate but is not obligated to issue refunds beyond what those policies and applicable law require. Payment disputes may also be handled through Stripe’s chargeback process.

The Service, including its software, design, and CouchFlippr marks, is owned by us or our licensors. You retain ownership of the content you submit (such as listing text and photos) and grant us a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and adapt it as needed to operate and promote the Service and your storefront.

12. Seller plans and fees

Sellers may subscribe to paid plans and are charged the applicable subscription fees and/or commission described at sign-up. Fees are billed through Stripe. Except where required by law, fees are non-refundable. We may change plan pricing prospectively with notice.

13. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that listings, condition disclosures, or AI-generated images provided by Sellers are accurate.

14. Limitation of liability

To the maximum extent permitted by law, CouchFlippr and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service or a transaction will not exceed the greater of the fees you paid to us in the three months before the claim or the amount of the specific transaction at issue. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless CouchFlippr and its affiliates from claims, losses, and expenses (including reasonable legal fees) arising out of your listings, your items, your use of the Service, or your violation of these Terms or applicable law.

16. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or for prolonged inactivity. Provisions that by their nature should survive (such as payment obligations, disclaimers, and limitation of liability) will survive termination.

17. Governing law and disputes

These Terms are governed by the laws of [Governing-law jurisdiction — to be provided], without regard to conflict-of-laws rules. The courts located in [Governing-law jurisdiction — to be provided] will have jurisdiction over disputes, except where applicable law provides otherwise.

18. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the date above and, where appropriate, by additional notice. Continued use of the Service after changes take effect constitutes acceptance.
